TERMS & CONDITIONS - SYIPTV  “The Service”

1. Parties & Scope

These Terms & Conditions (“Agreement”) govern the supply of IPTV services (“Service”) by SuperYacht IPTV, a trading style of Mr Cinema BV, registered in the Netherlands, to the Vessel (“Customer”) subscribing to the Service for maritime use.

2. Contract Duration & Renewal

  • Initial Term: A binding term of twelve (12) months, starting from Service activation date.

  • Automatic Renewal: Unless either party serves written notice of non-renewal at least thirty (30) days prior to the end of the applicable term, the Agreement will automatically renew for another 12-month period under the same terms.

  • Under Dutch law (Burgerlijk Wetboek), renewal notices are valid if sent by email or registered mail and received by the counterparty before the deadline.

3. Fees & Payment

  1. Media Server Fee

    • Payable in advance, in full, before provisioning of the server hardware.

  2. Subscription Fee

    • Recurring subscription fees must be paid in advance, either on a monthly or annual schedule as elected by the Customer.

    • Rates for subscriptions are exclusive of Dutch VAT (BTW) and any other applicable taxes.

  3. Invoicing & Payment Terms

    • Invoices are issued with 14-day payment term.

    • Acceptable methods: SEPA credit transfer or other mutually agreed means.

  4. Overdue Payments & Deactivation

    • If payment is not received by the due date, SuperYacht IPTV may suspend or terminate Service access.

    • Customers must pay all past-due amounts plus a €50.00 reactivation/admin fee for service restoration.

4. Termination & Early Cancellation

  • By Customer: Permitted only at the end of the 12-month term, with 30 days’ notice.

  • By SuperYacht IPTV: Allowed for breach, non-payment, or illegal behavior, effective upon notice.

  • Early Termination Fees: If the Customer cancels mid-term without cause, SuperYacht IPTV reserves the right to invoice the remainder of that term, in accordance with Article 6:230m of the Dutch Civil Code.

5. Service Availability & Limitations

  • IPTV delivery depends on onboard network infrastructure; SuperYacht IPTV is not liable for outages caused by vessel network conditions.

  • Content availability is subject to broadcaster licenses and may change without notice.

  • While this is a commercial licensing agreement the customer bears responsibility for lawful use, including compliance with copyright law, GDPR, and other applicable Dutch/EU regulations.

6. Third‑Party APIs & Integrations

  • SuperYacht IPTV offers APIs for optional integration with third-party hardware/software.

  • The Customer is fully responsible for proper implementation. SuperYacht IPTV bears no liability for problems arising from incorrect or unauthorized use.

  • If SuperYacht IPTV assists integration beyond standard support, supplementary charges may apply based on hours spent.

7. Liability, Warranties & Force

  1. Limited Liability

    • Under Article 6:119 BW, SuperYacht IPTV is only liable for direct damages resulting from intent or gross negligence, and to a maximum of the total fees paid in the last 12 months.

  2. Exclusions

    • Not responsible for indirect losses, lost profits, business interruption, reputational harm, data loss, etc.

  3. Force Majeure

    • Includes shipyard delays, satellite or internet failures, extreme weather, legal/political restrictions. No liability for delays or non-performance during such events.

 

8. Data Protection & Privacy

  • Personal data processed by SuperYacht IPTV is subject to the EU GDPR and the Dutch Algemene Verordening Gegevensbescherming (AVG).

  • SuperYacht IPTV shall:

    • Process data solely for contract performance,

    • Ensure data security and confidentiality,

    • Appoint a Data Protection Officer (if required),

    • Respect data subject rights regarding access, rectification, erasure, and restriction

  • Details are provided in a separate Privacy Notice.

9. Modifications to Terms

  • SuperYacht IPTV may amend these Terms with 30 days’ notice via email or the Customer portal.

  • Amendments will not apply to the remainder of the current term unless agreed by both parties; otherwise, new terms take effect at renewal.

10. Governing Law & Dispute Resolution

  • This Agreement is governed by Dutch law.

  • Disputes to be submitted to the competent court in the Netherlands or resolved via binding arbitration under Dutch arbitration regulations.

  • Mandatory statutory rights under Dutch law remain unaffected.

 

     Acknowledgement & Acceptance

     By subscribing to or using the Service, the Customer confirms:

 

  1. Receipt of these Terms & Conditions.

  2. Understanding and acceptance of their legal and contractual obligations.

  3. Consent to data processing in line with applicable privacy regulations.

11. Confidentiality

By accepting these Terms and Conditions, you acknowledge and agree that all information, data, materials, and communications provided by or relating to SuperYacht IPTV, whether disclosed in writing, orally, electronically, or by any other means, are and shall remain strictly confidential (“Confidential Information”). You shall not, without the prior written consent of the SuperYacht IPTV team, directly or indirectly disclose, transmit, reproduce, or make available any Confidential Information to any third party, except to your employees, agents, or contractors who have a legitimate need to know and are bound by equivalent confidentiality obligations. This obligation of confidentiality shall survive the termination or expiry of your relationship with SuperYacht IPTV for an indefinite period.
